Introduction
This is a legal agreement between you and GlassBox Verification Services, LLC dba GlassBox Verified, an Arizona limited liability company (“GlassBox, or GBX”), which may be contacted at 410 N Scottsdale Rd Suite 1000, Tempe, AZ 85288.
By accessing this website, and any sub-sites of this website (together the “Site”), and/or using any of the Services (as defined below) accessible though the Site, you become a user and agree to, and are bound by, the terms and conditions of this agreement and the GlassBox Privacy Policy (collectively, “Terms”) for as long as you continue to use the Site or Services. IF YOU DO NOT AGREE TO BE BOUND BY THE TERMS, DO NOT USE THE SITE OR THE SERVICES.
Your use of, or participation in, certain Services may be subject to additional terms, such as a Master Services Agreement (MSA) or SLA, and such terms will be presented to you for your acceptance when you sign up to use such Services.
THESE TERMS STATE THAT ANY DISPUTES BETWEEN YOU AND GLASSBOX MUST BE RESOLVED IN BINDING ARBITRATION, THAT YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, AND THAT THE LAW OF THE STATE OF ARIZONA APPLIES TO ALL INTERACTIONS BETWEEN YOU AND GLASSBOX.
1. Description of Services
GBX is a Data Infrastructure and Analytics platform (the “Services”) designed to act as the definitive system of record for professional referral networks.
For Senders (Paying Customers): GlassBox provides SaaS infrastructure, AI-driven data parsing, and analytics that enable agencies, firms, and independent professionals to track, route, and manage client handoffs and deal flow.
For Receivers (Free Users / Partners): GlassBox facilitates secure data rooms and digital handshake workflows, allowing third-party professionals to view deal summaries, download client files, and digitally accept referral terms.
GlassBox is strictly a technology and data infrastructure provider. We act as the system of record but are not a party to the referral agreement, nor are we a licensed broker, agent, or financial institution. GlassBox reserves the right to cancel or modify a portion of any of our Services at any time.
2. Use of Site and Service
As a user of the Site or a user registered to use any of the Services (a “Registered User”), you agree to the following:
Exclusive Use: Your account is to be used only by you and for your business needs. You may not authorize others to use your account, and you may not assign or otherwise transfer your account to any other person or entity.
Information Submitted: You are solely responsible for (i) the information and content you provide through your use of the Site, (ii) the information you make available regarding your business or your client's business, and (iii) your interaction with third-party network partners.
Verified Term Agreements (E-SIGN Consent): The Platform facilitates a digital "handshake" where Receivers officially accept a fee structure. By clicking "Accept" or utilizing our digital signature tools, users consent to legally binding electronic contracts under the E-SIGN Act. GlassBox holds no liability for the collection or enforcement of these negotiated fees.
Risk Assumption: You assume all risk when using the Services, including risks associated with interactions with third-party partners to which data is routed.
No Guarantees: GlassBox does not guarantee that any referral will be successfully placed, nor does it guarantee that any referral fees or financial splits will be collected.
No False Information: You agree to provide accurate, true, current, and complete information. If GlassBox determines that information provided is fraudulent, false, or misleading, we reserve the right to terminate your access immediately.
Business Purpose Only: You agree to use the Site or Services only for bona fide commercial business purposes. You agree not to use the Site or Services for personal, family, or household purposes.
3. Intellectual Property Rights
Ownership of Platform: You acknowledge that GlassBox is the owner of all rights in and to the Site, Services, software, underlying code, AI workflows, and data algorithms. Even if you utilize "White-Label" features, the underlying infrastructure remains the sole property of GlassBox.
No Reverse Engineering: You may not copy, reproduce, distribute, create derivative works, reverse engineer, or reverse compile any of the Site or Services or technology.
License to Provided Content: By uploading client data or documents to the Platform, Senders grant GlassBox a limited license to use, reproduce, and distribute such information solely for the purpose of providing the Services (e.g., parsing emails, generating deal summaries, and routing data to Receivers).
4. Links to Third Party Websites
The Site may contain links to websites of third-parties, which are not under the control of GlassBox. GlassBox is not responsible for the content or privacy practices of any linked site. Your dealings with third-parties found on or through the Site are solely between you and such third-party.
5. Disclaimer of Warranty
THIS SECTION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.
GLASSBOX PROVIDES THE SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS AND GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
GLASSBOX DOES NOT WARRANT THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE. GLASSBOX DOES NOT GUARANTEE ANY REFERRAL OUTCOME OR FEE COLLECTION. OPINIONS, ADVICE, OR STATEMENTS MADE BY THIRD PARTIES ARE THOSE OF THEIR RESPECTIVE AUTHORS, AND GLASSBOX ACCEPTS NO RESPONSIBILITY FOR THEM.
6. Limitation of Liability
IN NO EVENT WILL GLASSBOX BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR INDIRECT DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, OR DATA, EVEN IF GLASSBOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES (INCLUDING THOSE ARISING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR THIRD-PARTY CYBERATTACKS).
UNDER NO CIRCUMSTANCES WILL GLASSBOX’S AGGREGATE LIABILITY EXCEED THE PRICE PAID BY YOU FOR YOUR SUBSCRIPTION IN THE THREE (3) MONTHS PRIOR TO THE CLAIM, OR, IF YOU HAVE NOT PAID GLASSBOX (E.G., AS A FREE RECEIVER), THE AMOUNT OF USD $100.00.
Information Verification: GlassBox utilizes AI for data formatting, parsing forwarded emails, and document completeness checks. However, no method is perfect. You agree that GlassBox will have no liability to you arising from any incorrectly parsed information. GlassBox does not audit, certify, or guarantee the authenticity of underlying client data.
7. Indemnification
You agree to indemnify, defend and hold harmless GlassBox, its officers, directors, employees, and agents from any losses, costs, liabilities and expenses (including attorney fees) relating to or arising out of: (i) your use of the Site or Services; (ii) any data you submit; (iii) your violation of these Terms; (iv) your violation of any third-party rights; or (v) any claim that your use of the Services violated applicable data privacy, TCPA, or CAN-SPAM laws.
8. User Information & Privacy
For information about the collection and use of your information, please visit the GlassBox Privacy Policy. By using the Site, you consent to the terms of the Privacy Policy.
AI Data Processing & Zero-Training Guarantee: GlassBox integrates with third-party Large Language Models (e.g., OpenAI, Anthropic) to parse forwarded communications and generate Deal Summaries. We mandate that your proprietary data and client Personally Identifiable Information (PII) are never used to train public or external AI models.
You acknowledge that GlassBox may disclose information if required by law or to protect GlassBox’s rights.
9. Restrictions
You may not:
Use the Services as a money services business or payment aggregator.
Resell the Services (unless you are an authorized White-Label Partner under a separate MSA).
Abuse the Services or use them to perpetrate fraud.
Circumvent GlassBox to conduct business directly with Partners introduced exclusively through the Platform's directory without honoring tracked platform agreements.
10. Dispute Resolution by Binding Arbitration
Jurisdiction: Arizona
Venue: Maricopa County
In the interest of resolving disputes efficiently, you and GlassBox agree that any dispute shall be resolved through binding arbitration instead of in courts of general jurisdiction. Arbitration will be conducted in Phoenix, Arizona under the Commercial Dispute Resolution Procedures of the American Arbitration Association (AAA).
Class Action Waiver: YOU AND GLASSBOX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS PROCEEDING.
Opt-Out: New users may opt-out of this arbitration agreement by mailing a written Opt-Out Notice to GlassBox at our Phoenix address within 30 days of first accepting these Terms.
11. Telephone Communications & TCPA Consent
Consent to Contact: By providing your telephone number, you expressly consent to receive artificial voices, prerecorded voice messages, and/or autodialed calls and text messages (SMS/MMS) from GlassBox and its tracking agents related to your account or referral activity.
Third-Party Tracking & Sender Liability: GlassBox employs automated "Tracking Agents" to send follow-up nudges to Receivers. Senders are strictly responsible for managing their partner directories. By inputting a Receiver's contact information, the Sender explicitly warrants that they have a pre-existing business relationship with the Receiver or have obtained express legal consent to contact them, shielding GlassBox from TCPA or CAN-SPAM liability.
Opt-Out: You may opt-out of text messages by replying STOP to any message. You may opt-out of automated voice calls by sending a written notice to legal@glassboxverified.com.
Fees: Message and data rates may apply.
12. General Provisions
Controlling Law: You agree that Arizona law will govern these Terms and that any dispute will be subject to the exclusive jurisdiction of the federal and state courts in Maricopa County, Arizona.
Entire Agreement: These Terms, along with the Privacy Policy and any applicable Master Services Agreement (MSA) or Quote, comprise the entire agreement between you and GlassBox.
Severability: If any provision is held invalid, the remainder of the Terms continues in full force.
Statute of Limitations: Any claim arising out of the Site or Terms must be filed within one (1) year after such claim arose.
13. Confidentiality
We take reasonable precautions to protect your account information and securely host sensitive client files (utilizing enterprise infrastructure such as AWS S3). However, you acknowledge that you share account information at your own risk.
Client Consent for Data Egress: If you are a Sender sharing client data, you represent and warrant that you have obtained all necessary explicit consents from your client to process, parse, and route their data through GlassBox and our third-party infrastructure.
14. Term and Termination
This agreement is effective upon your use of the Site. GlassBox may terminate your account at any time, for any reason. Upon termination, your right to use the Services will immediately cease, and GlassBox reserves the right to securely delete stored files after a standard 30-day grace period. If you are a paying subscriber, termination provisions regarding fees and refunds will be governed by our terms of service.
15. Changes to Terms
GlassBox may update these Terms at any time. Material changes will be notified via email or a notice on the Site. Your continued use of the Site constitutes acceptance of the new Terms.
